Kalliope Kefallinos is an associate in the Capital Markets practice.
She advises leading private equity firms, investment banks and clients (including individuals, emerging growth companies, and private and public corporates) on U.S. and European securities law and ongoing reporting matters in connection with a variety of complex, cross-border corporate financings, including general debt and equity capital markets transactions (both SEC-registered and exempt), public and private M&A, initial public offerings, leveraged finance and high yield debt offerings, among others.
In addition, Kalliope has significant experience serving clients across industries on an “outside general counsel basis,” where she has advised on a broad range of general corporate matters, including entity formation and structuring, corporate governance and regulatory compliance, joint venture and other collaborative arrangements, venture capital fundraising, and commercial contracts (such as licenses, technology contracts, and vendor and supplier contracts).
Prior to joining Shearman & Sterling, Kalliope practiced at the London headquarters of a magic circle law firm, as well as the New York headquarters of a leading white shoe law firm.
In 2019, Kalliope spent 10 months on secondment with the European equity capital markets team of a top-tier U.S. investment bank in London.
